Welcome to Gadget Helper, a product of Gadget Helper LLC (“we,” “us,” “our,” or “Gadget Helper”). By creating an account, subscribing to our service, or using Gadget Helper in any way, you agree to these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the service.

1. Description of Service

Gadget Helper provides on-demand voice-based technology assistance through an artificial intelligence (“AI”) agent. Users can call the AI agent through our mobile application to receive conversational guidance on everyday technology questions, such as how to use a smartphone, navigate apps, troubleshoot devices, and similar topics.

2. Important Disclaimer Regarding AI-Generated Guidance

THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ IT CAREFULLY.

Gadget Helper uses artificial intelligence to provide technology guidance. This AI is not a human expert and does not provide professional, legal, financial, medical, or emergency advice of any kind. The guidance provided by Gadget Helper:

  • May be inaccurate, incomplete, outdated, or inappropriate for your specific situation
  • Should not be relied upon as a substitute for professional technical support, especially for issues involving data loss, security, financial transactions, or account access
  • Is provided on an “as-is” basis without any warranty of accuracy, reliability, or fitness for a particular purpose
  • May not reflect the most current software versions, device configurations, or security best practices

You acknowledge and agree that Gadget Helper LLC, its officers, employees, and affiliates are not responsible or liable for any actions taken based on guidance provided by the AI agent. This includes, but is not limited to, any data loss, accidental purchases, changes to device settings, account lockouts, security breaches, or any other consequence arising from following AI-generated guidance.

Gadget Helper is not responsible for losses arising from scams, impersonation, phishing, or user disclosure of passwords, verification codes, or financial credentials during or after use of the service.

If you encounter a situation involving sensitive information (such as passwords, banking details, or Social Security numbers), potential fraud or scams, or any issue that could result in financial loss or compromise of personal security, you should seek assistance from a qualified human professional or the relevant service provider directly.

3. Subscriber and End User Roles

Gadget Helper allows one person (the “Subscriber”) to create an account, manage a subscription, and enroll one or more other people (each an “End User”) to use the voice service. Subscribers may also be End Users themselves.

By enrolling an End User, the Subscriber represents and warrants that:

  • They have the consent of the End User to enroll them in the service
  • They have informed the End User about the nature of the service, including that they will be speaking with an AI agent (not a human)
  • They have informed the End User that interactions with the service are subject to these Terms and our Privacy Policy
  • They accept these Terms on behalf of the End User to the extent permitted by law

We may also provide notice to End Users directly in the app or at the start of service use. The Subscriber is responsible for ensuring the End User understands what the service is and how it works. Gadget Helper is not responsible for any confusion or misunderstanding about the nature of the AI agent.

4. Data Use and Transcripts

By using Gadget Helper, you agree that we may store, review, and use transcripts, call metadata, and related interaction data for the purposes of providing the service, ensuring safety, maintaining quality, preventing fraud, and improving the product. Full details about our data practices, including what we collect, how long we retain it, and your rights regarding your data, are described in our Privacy Policy.

5. Account and Eligibility

You must be at least 18 years old to create a Subscriber account. Gadget Helper is not intended for use by children under the age of 13, and we do not knowingly collect personal information from children under 13. If we become aware that a child under 13 has used the service, we will take steps to delete their information.

You are responsible for maintaining the security of your account credentials. You agree to notify us immediately of any unauthorized access to your account.

6. Billing and Subscription

Gadget Helper is offered as a monthly subscription at the current rate displayed at the time of enrollment. Subscriptions are billed monthly through our payment processor, Stripe. By subscribing, you authorize recurring monthly charges to your payment method.

We also offer non-expiring backup minute blocks that can be purchased separately. Unused backup minutes do not expire and remain available as long as your account is active and in good standing.

You will not be disconnected mid-call when your included minutes run out. Any overage will be deducted from your backup minutes if available.

We reserve the right to change pricing with 30 days advance notice to active Subscribers. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial billing periods.

7. Acceptable Use

Gadget Helper is intended for personal, non-commercial use. You agree not to:

  • Use the service for any illegal, fraudulent, or harmful purpose
  • Attempt to manipulate, exploit, or abuse the AI agent
  • Use the service to obtain guidance on circumventing security measures, hacking, or unauthorized access to systems
  • Record, redistribute, or commercially exploit any content or interactions from the service without our written consent
  • Use the service in any way that could harm, disable, or impair our systems or interfere with other users

8. Intellectual Property

All content, technology, branding, and materials associated with Gadget Helper are the property of Gadget Helper LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the service for personal, non-commercial purposes in accordance with these Terms.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Gadget Helper LLC and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or loss of use, arising out of or related to your use of the service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or related to these Terms or the service shall not exceed the total amount you have paid to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.

10. Disclaimer of Warranties

The service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. We make no warranties about the accuracy, reliability, or quality of any guidance provided by the AI agent.

11. Indemnification

You agree to indemnify, defend, and hold harmless Gadget Helper LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may suspend or terminate your access to the service if necessary to protect users, comply with law, prevent abuse, or for other legitimate business reasons. Upon termination, your right to use the service ceases immediately. Sections regarding liability limitations, disclaimers, indemnification, and governing law survive termination.

13. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify Subscribers through the contact information associated with their account or through the app. Your continued use of the service after such notification constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions. Any disputes arising under or in connection with these Terms shall be resolved in the state or federal courts located in Los Angeles County, California.
